Patisco (貿商道) Service Subscription Agreement

This Service Subscription Agreement (the “Agreement”) is entered into by and between Xinosys Co., Ltd. (the “Company” or “we/us/our”) and the legal entity or individual that registers for, subscribes to, or uses the Services through this Platform (the “User” or “you/your”).

By clicking “I Agree” or beginning to use the Patisco Services, you acknowledge that you accept and agree to be bound by this Agreement on behalf of your company or other legal entity.

Article 1: Service Definition and Scope

1.1 Patisco Services

“Patisco Services” means the cloud-based collaboration platform provided by the Company, including, without limitation, product management, a multi-level quotation system, trade document auto-generation modules (PI/PO/CI/PL), trust-network collaboration tools, and API interface services.

1.2 Subscription License

Subject to your selected subscription plan and this Agreement, the Company grants you a non-exclusive, non-transferable, worldwide right to use the Services for your internal business operations, in accordance with the restrictions and conditions set forth herein.

Article 2: Special Terms for Trial Accounts

2.1 Trial Purpose

Trial accounts are provided solely for the purpose of allowing Users to experience and evaluate the system logic.

2.2 Effect of Documents

All trade documents generated through a trial account (e.g., PI, PO) will be automatically marked with a trial watermark, and shall not have formal legal effect. You may not use a trial account to generate documents as legal evidence for real transactions.

2.3 Disclaimer

The Company provides the Services during the trial period without any warranties regarding data security or service continuity, and reserves the right to terminate the trial at any time.

Article 3: User Accounts and Permission Management

3.1 Role-Based Access Control (RBAC)

You acknowledge that Patisco implements a strict role-based access control mechanism. Your administrator (“Admin”) is responsible for properly configuring read and edit permissions for sub-accounts (e.g., Sales, Assistant, Accountant).

3.2 Agency Effect

Any “Submit” or “Sign” action performed through an account authorized by you shall be deemed your formal act through an authorized agent. You shall bear full responsibility for all quotations, confirmations, and contractual contents generated by your sub-accounts, and you may not assert “operational error” or “unauthorized action” as a defense against your trading counterparties or the Company.

3.3 Security Obligations

You shall properly safeguard your account credentials. If any unauthorized access occurs, you shall notify the Company immediately.

Article 4: Integrity and Evidentiary Effect of Trade Documents

4.1 Non-Repudiation

Patisco automatically records all document activity logs and version history. You agree that the Platform’s version comparison records shall serve as the basis for confirming collaborative consensus between the parties.

4.2 Evidence Preservation

The Company will use reasonable technical measures to protect data from tampering. However, the Company is not responsible for verifying the authenticity of information uploaded by Users (e.g., product specifications or quotations).

Article 5: API Terms

5.1 API-First Architecture

If you use the API to integrate the Services with your internal ERP/CRM systems, you shall comply with the technical specifications and usage limits (including rate limits) provided by the Company.

5.2 Data Consistency

You understand that data synchronized via the API may differ due to network latency or incompatible formats. The Company shall not be liable for any trade losses resulting from improper integration or configuration on the User’s side.

Article 6: Data Ownership and Privacy Protection

6.1 User Data

You retain ownership of all original data you upload to the Platform.

6.2 Rights to Anonymized Analysis

You authorize the Company to use aggregated data for market trend analysis and service optimization on an anonymized basis that cannot be traced back to any specific company.

6.3 Privacy Policy

Data processing shall be governed by the Company’s Privacy Policy.

Article 7: Fees and Payment

7.1 Subscription Fees

You shall pay subscription fees in accordance with your selected plan and billing cycle. Except as otherwise provided in this Agreement, fees paid are non-refundable.

7.2 Suspension for Non-Payment

If you fail to pay fees by the due date, the Company may, after notice, suspend the Services until all outstanding amounts are paid.

Article 8: Prohibited Conduct

8.1 Competitive Use Prohibited

You shall not access the Patisco Services for the purpose of developing a competing product or for monitoring service availability or performance evaluation.

8.2 System Interference Prohibited

Any attempt to bypass system limitations, interfere with server operations, or reverse engineer the Services is prohibited.

Article 9: Limitation of Liability and Termination

9.1 Liability Cap

Except where mandatory laws provide otherwise, the Company’s total liability to you shall be limited to the total subscription fees actually paid by you in the twelve (12) months preceding the event giving rise to the claim.

9.2 Post-Termination Handling

After termination, you may request an export of your transaction data within thirty (30) days. After that period, the Company may delete such data in accordance with applicable laws.

Article 10: Governing Law and Jurisdiction

10.1 Governing Law

This Agreement shall be governed by the laws of the Republic of China (Taiwan).

10.2 Jurisdiction

Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the Taipei District Court in Taiwan as the court of first instance.
