Welcome to Patisco 貿商道 (the “Platform”). The Platform is developed and operated by Xinosys Co., Ltd. (the “Company,” “we,” “us,” or “our”). Before using any services provided through the Platform (the “Services”), please read this Website Disclaimer carefully. By accessing or using the Services, you acknowledge that you have understood and agree to all terms of this Disclaimer.
1. Nature of the Services
Patisco is a digital collaboration tool and trust-network infrastructure designed for B2B trade. The Platform provides tools for information display, trade document collaboration (including PI, PO, CI, PL, etc.), and communication management only. The Company is not a party to any transaction, and does not act as an agent, guarantor, broker, or intermediary. Any transaction concluded through the Platform creates rights and obligations solely between the buyer and seller (the User and its counterparty).
2. Information Accuracy and User Responsibility
User Content
All product information, pricing, specifications, labels, and trading terms on the Platform are uploaded, maintained, and published by Users. The Company does not substantively review such information and makes no warranties regarding its authenticity, accuracy, legality, or completeness.
Document Effect
Trade documents automatically generated by the system are produced based on data entered by Users. Before performing any “Submit” or “Sign” action, Users are obligated to review the document content. Once a document is submitted, it constitutes the User’s formal trading position. The Company is not liable for any commercial losses arising from User input errors.
3. System Permissions and Account Management
Role Authorization
The Platform uses role-based access control (e.g., Admin, Sales, Assistant). The administrator account bears full legal responsibility for all actions performed by its sub-accounts, including but not limited to modifying quotations and sending PIs.
Account Safekeeping
Users must properly safeguard their account IDs and passwords. Any actions performed after a successful login using valid credentials will be deemed actions of the User.
4. Technical Risks and Service Interruptions
System Availability
The Company will use reasonable efforts to maintain stable operation of the Platform. However, the Company shall not be liable for service interruptions, delays, or data loss caused by telecommunications failures, server maintenance, hacking attacks, force majeure, or other factors beyond the Company’s reasonable control.
Data Security
Although the Platform uses SSL encryption to protect data transmission, Users acknowledge that the internet environment is not absolutely secure. Users should regularly back up important transaction information at their own discretion.
5. Third-Party Services and API Integrations
The Platform may include third-party services (e.g., payment services such as PayPal or PayUni) and/or integrations with Users’ own ERP/CRM systems via APIs.

Use of third-party services is subject to the applicable third-party provider’s terms.

The Company is not responsible for the performance, stability, or data accuracy of any third-party system.

For any data synchronization errors caused by third-party API failures, Users should contact the relevant third-party provider for resolution.
6. Trust History and Evidentiary Value
The Platform’s Activity Logs and Version Comparison features are designed to faithfully record the collaboration process between parties. The Company retains the right to maintain original records of Platform operational data, but does not intervene in the adjudication of legal disputes between Users. Whether such records are admissible or persuasive as evidence shall be determined by the relevant court or arbitral tribunal in each jurisdiction.
7. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Platform, including but not limited to loss of profits, loss of goodwill, or loss of business opportunities. In all cases, the Company’s aggregate liability to a User shall not exceed the total service fees paid by that User to the Platform during the twelve (12) months preceding the event giving rise to the claim.
8. Governing Law and Jurisdiction
This Disclaimer shall be governed by the laws of the Republic of China (Taiwan). Any dispute arising out of or relating to use of the Platform shall, unless otherwise required by law, be subject to the jurisdiction of the Taipei District Court in Taiwan as the court of first instance.
